SOMEWHR — TERMS & CONDITIONS

1. Introduction

Welcome to somewhr, owned and operated by Arkan nova LLP, registered in Mumbai, Maharashtra, India.

These Terms & Conditions ("Terms") govern your access to and use of our mobile applications, website, and all related features (collectively, the "Platform").

These Terms apply to:

• Users searching, booking, or interacting with Pilates studios, yoga studios, recovery centers, run clubs, trainers, or wellness service providers.
• Partners, studios, and freelancers listing services, hosting events, managing availability, or receiving bookings.

By using the Platform, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must stop using the Platform immediately.

2. Eligibility

The Platform can be accessed by individuals of any age; however:

• Users under 18 years of age must use the Platform under the supervision of a parent or legal guardian.

By using the Platform, you represent that all information provided is true, accurate, and lawful.

3. Account Registration

To access full functionality, Users and Partners must create an account by providing accurate information including but not limited to:

• Name
• Phone number / email
• Gender
• Location
• For Partners: Studio/business details, photos, pricing, certificates, and availability

You agree to:

• Maintain updated and accurate account information
• Keep your login credentials confidential
• Assume full responsibility for all actions taken via your account

We reserve the right to suspend or terminate accounts for suspicious, fraudulent, or unlawful activity.

4. Services Offered

somewhr provides an aggregator-based discovery and booking platform for wellness and fitness activities, including:

• Pilates, yoga, and movement studios
• Recovery centers (infrared therapy, cryotherapy, sauna, etc.)
• Run clubs, freelance trainers, and wellness collectives
• Ticketed wellness events
• Studio listings and partner onboarding
• Payment processing through third-party gateways

somewhr does not own, operate, control, or manage the services provided by Partners.

Partners are solely responsible for:

• Safety, quality, and delivery of services
• Pricing, schedules, and availability
• Certifications, licenses, and compliance

The Platform acts only as a technology intermediary under Indian IT law.

5. Payments, Pricing & Refunds

• All payments are processed securely via Razorpay or other approved payment gateways.
• All fees, taxes, and charges are disclosed prior to checkout.
• somewhr may deduct commissions or service fees from payments made to Partners.
• Users agree to use lawful and authorized payment methods only.

Refunds

• Refunds, cancellations, and rescheduling are governed by each Partner’s policy.
• somewhr will facilitate refunds but cannot guarantee them unless explicitly stated.
• Refund timelines may vary based on payment gateway rules.

6. Content Ownership & Usage Rights

By uploading content (images, descriptions, documents, etc.) you grant somewhr:

• A non-exclusive, worldwide, royalty-free license
• To store, display, publish, and use such content for Platform operations and listings

You confirm that all uploaded material:

• Is lawful and original
• Does not infringe any third-party rights
• Does not contain offensive, harmful, or prohibited material

Unauthorized or illegal content may be removed without notice.

7. Permissions & Access

The Platform may require certain device permissions, such as:

• Location access (to show nearby studios/events)
• Camera & media access (for profile or listing uploads)
• Push notifications (transactional and service alerts)

You may disable permissions anytime; however, doing so may limit functionality.

8. Prohibited Activities

Users and Partners agree NOT to:

• Use the Platform for illegal or fraudulent purposes
• Upload abusive, defamatory, explicit, or harmful content
• Impersonate individuals or misrepresent credentials
• Attempt hacking, scraping, monitoring, or unauthorized data extraction
• Interfere with Platform operations, servers, or security features
• Circumvent booking processes to avoid payment or commission

Violation may result in account suspension, legal action, or reporting to authorities.

9. Data Protection & Retention

somewhr complies with:

• The Information Technology Act, 2000
• IT Rules 2021 (Intermediary Guidelines & Digital Media Ethics Code)
• The Digital Personal Data Protection Act, 2023 (DPDP Act)
• Relevant App Store / Play Store data policies

Data can be deleted via the in-app deletion option.

somewhr may retain limited information for legal, auditing, or risk-prevention obligations.

10. Limitation of Liability

somewhr is an intermediary and not the provider of wellness services. Therefore, we are not liable for:

• Service quality, safety, hygiene, or results
• Injuries, accidents, physiological issues, or health outcomes
• Delays, cancellations, unavailability, or dissatisfaction
• Partner negligence or misconduct
• Loss of business, revenue, data, or opportunities

To the fullest extent permitted by law, somewhr shall not be responsible for any direct, indirect, incidental, or consequential damages.

Users engage in workouts, wellness activities, and physical movement at their own risk.

11. Indemnity

Users and Partners agree to indemnify and hold harmless:

• somewhr
• Arkan nova LLP
• Its employees, founders, partners, and associates

from any claims, liabilities, legal actions, damages, or losses arising from:

• Misuse of the Platform
• Violation of these Terms
• Third-party disputes
• Uploading unlawful or infringing content

12. Termination of Services

somewhr reserves the right to:

• Suspend or terminate accounts
• Remove listings or content
• Restrict access to services
• Block devices or IP addresses

Reasons may include fraud, illegal activity, harassment, chargeback abuse, data scraping, or violation of these Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India.

All disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

14. Modifications to Terms

somewhr may modify or update these Terms at its discretion. Continued use of the Platform after such updates constitutes acceptance of the revised Terms.
